Terms & Conditions
By using eStore, you agree to these terms. They define the rules for buying and selling on our platform, what we expect from all users, and how disputes are resolved.
Eligibility & registration
Age & capacity - you must be at least 18 years old (or the legal age of majority in your jurisdiction) to use eStore. By creating an account, you represent that you have the legal capacity to enter into a binding agreement.
Account registration - when you register, you agree to:
- Provide accurate, complete, and current information.
- Update your information if it changes.
- Keep your password confidential and never share it with anyone.
- Be solely responsible for all activity on your account, whether authorized or not.
Account integrity - you may not:
- Create multiple accounts to circumvent our policies or terms.
- Impersonate another person or entity.
- Use information about another user without their consent.
- Access another user's account without permission.
If you suspect unauthorized access to your account, notify us immediately at security@estore.llc. We are not liable for losses resulting from compromised credentials.
Buyer terms
Purchase agreement - when you complete a purchase on eStore, you enter into a direct contract with the seller. eStore facilitates the transaction but is not a party to the sale. The seller is responsible for delivering the product as described.
File downloads - once you complete payment, you receive a non-exclusive license to download and use the digital product according to the seller's license terms. You may not:
- Redistribute, resell, or re-license the product.
- Share download links or credentials with others.
- Use the product for purposes not permitted by the seller's license.
- Reverse engineer, decompile, or attempt to extract the source code.
Payment authorization - by entering payment information, you authorize us to charge your payment method for the full purchase amount, including any applicable taxes or fees. You are responsible for any chargeback or failed payment fees imposed by your financial institution.
Disputes with sellers - if you have an issue with a purchase (e.g., file doesn't match description, broken download link, malware), contact the seller first. If the seller does not resolve it within 7 days, escalate to our support team. We will investigate and may issue a refund. See Section 7 for details.
Seller terms
Seller eligibility - to sell on eStore, you must:
- Complete identity verification and provide a valid tax ID.
- Comply with all applicable laws and regulations in your jurisdiction and the buyer's jurisdiction.
- Be in good standing (no recent bans, suspensions, or policy violations).
Listing obligations - for each product listing, you represent that:
- The product description is accurate and matches what is delivered.
- The product is free from malware, viruses, or harmful code.
- You own or have the right to license the product you are selling.
- The product complies with all applicable laws and does not infringe third-party rights.
Content review - all listings are subject to automated and manual review. We may reject, suspend, or remove listings that violate our policies or applicable law. You will receive notice if your listing is removed.
File hosting & delivery - eStore provides hosting and delivery infrastructure. You are responsible for ensuring your files are not corrupted, missing, or outdated. We do not inspect the technical contents of your files.
License to buyers - by listing a product, you grant buyers a non-exclusive, non-transferable license to download and use the product once. You set the specific license terms (e.g., personal use only, attribution required, commercial use allowed). Those terms must be clearly stated in your listing.
Seller support obligations - you agree to respond to buyer inquiries and support requests within a reasonable time (we recommend within 48 hours). Unresponsive sellers may have their listings paused or removed.
Fees & payments
Commission - eStore charges a 12% commission on all gross sales (before refunds or payment processor fees). This is deducted from the sale amount before calculating seller payouts.
Payment processor fees - Stripe and other payment processors charge additional fees (typically 2.2% + $0.30 per transaction for US credit cards). These are separate from our commission and are deducted by the processor before funds reach your payout account.
Payouts - seller earnings are paid out bi-weekly via your connected payout method (Stripe, PayPal, direct bank transfer). Payouts are processed every other Friday. Your account must have a minimum balance of $50 to be eligible for a payout; amounts below that threshold are held until the next period.
Currency & exchange rates - if you sell to buyers in different countries, we may convert currency. Conversion rates are set by Stripe and may include a small markup. See Stripe's documentation for current rates.
Tax responsibility - you are responsible for all taxes on your earnings, including income tax, sales tax, VAT, and GST where applicable. eStore does not calculate or remit taxes on your behalf. We provide transaction reports annually to assist with tax filing.
Refunds & chargebacks - if a buyer requests a refund or disputes a charge, the amount is deducted from your payout. If your account balance goes negative, you are liable for the difference.
Intellectual property
Your content - you retain all rights to content you upload to eStore. By uploading, you grant eStore a worldwide, non-exclusive license to store, display, and transmit your content on the platform and in backup systems.
eStore trademarks - "eStore," the eStore logo, and related marks are trademarks of eStore Inc. You may not use these marks without our written permission, except as permitted in these terms or on the platform itself.
Third-party content - eStore contains content licensed from third parties (icons, fonts, themes). You may not extract or reuse this content except as explicitly permitted on the platform.
DMCA & copyright infringement - if you believe content on eStore infringes your copyright, submit a DMCA notice to legal@estore.llc. Include: (1) identification of the copyrighted work, (2) identification of the infringing content, (3) your contact information, and (4) a statement under penalty of perjury that you have a good-faith belief the use is not authorized. We will investigate and take appropriate action.
Counter-notice - if your content was removed due to a DMCA claim and you believe it was a mistake, you may submit a counter-notice. We will restore it within 10 business days unless the claimant obtains a court order.
Prohibited content & conduct
eStore is a marketplace for digital products. We do not allow the sale or distribution of:
- Illegal goods or services - anything that violates local, state, or federal law.
- Malware or exploits - viruses, trojans, ransomware, or tools designed to compromise systems or data.
- Stolen intellectual property - content you don't own or have the right to license.
- Credentials or hacks - passwords, API keys, or exploits for unauthorized access.
- Explicit content involving minors - any content sexualizing children.
- Fake or misleading products - listings that misrepresent what is being sold (e.g., "free course" that is actually paid).
- Surveillance tools - software or guides for stalking, spying, or harassment.
- Hate speech or harassment - content promoting violence, discrimination, or harassment of any group.
User conduct - you may not:
- Harass, threaten, or abuse other users.
- Spam or send unsolicited messages.
- Attempt to manipulate ratings, reviews, or search rankings.
- Use bots or automation to artificially inflate sales, views, or engagement.
- Engage in price fixing or collusion with other sellers.
- Create fake accounts to purchase your own products or boost ratings.
- Scrape, crawl, or extract data from eStore without permission.
Enforcement - we enforce these rules through automated detection and human review. Violations result in warnings, listing removal, account suspension, or permanent ban. In some cases, we report violations to law enforcement.
Refunds & disputes
Seller refund policy - each seller sets their own refund policy. Most sellers do not offer refunds for digital products (which are non-returnable once accessed). Check the seller's policy before purchasing.
eStore refund guarantee - we guarantee a refund in the following cases:
- Product is corrupted or fails to download.
- Product does not match the listing description in a material way.
- Payment was processed twice for a single purchase.
- Unauthorized purchase (credit card fraud).
To request a refund, contact the seller first. If unresolved within 7 days, escalate to our support team at support@estore.llc. Provide: (1) order number, (2) reason for refund, and (3) evidence (screenshots, download errors, etc.).
Dispute process - if a buyer and seller cannot agree on a resolution, we will:
- Review the case and evidence from both parties.
- Make a determination within 14 days.
- Issue a refund or reject the claim.
- Notify both parties of the decision.
Our decision is final and binding. We do not serve as a court and will not hear appeals.
Chargeback & dispute avoidance - if you attempt to reverse a charge through your bank (chargeback) instead of asking eStore for a refund, we will:
- Close your account immediately.
- Deduct chargeback fees from your balance.
- Prevent you from creating a new account.
Warranties & limitation of liability
No warranties - eStore and its services are provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding:
- Fitness for a particular purpose.
- Merchantability or quality.
- Uninterrupted or error-free service.
- Security or confidentiality.
You use eStore at your own risk. We do not guarantee that the platform will be available at all times or that your data will never be lost.
Limitation of liability - to the fullest extent permitted by law, eStore and its officers, directors, employees, and agents are not liable for:
- Loss of profits, revenue, or business opportunity.
- Loss of data or corrupted files.
- Indirect, incidental, special, or consequential damages.
- Damages arising from your use of products downloaded from eStore.
Our total liability under these terms is limited to the fees you paid in the 12 months prior to the incident, or $100, whichever is greater.
Sellers are liable for their products - if a seller's product harms you (malware, data loss, copyright infringement), your recourse is against the seller, not eStore. You may pursue the seller directly or through our dispute process.
Indemnification
You agree to defend, indemnify, and hold harmless eStore and its officers, employees, and agents from any claims, damages, and costs (including legal fees) arising from:
- Your violation of these terms.
- Your use of eStore or products purchased on eStore.
- Content you upload or sell on eStore.
- Your infringement of intellectual property or privacy rights.
- Your violation of applicable law.
If eStore is sued because of your actions, you will reimburse us for all legal fees and damages we incur as a result.
Sellers specifically indemnify eStore for: any claim that your product infringes a third party's intellectual property rights, violates their privacy, or causes them harm.
Account termination
Termination by you - you may delete your account at any time in Settings → Account → Delete Account. Once deleted, your account cannot be recovered. We will remove your personal data within 30 days (subject to legal retention periods for financial records).
Termination by eStore - we may terminate your account immediately if you:
- Violate these terms or our policies.
- Engage in fraud, abuse, or harassment.
- Upload illegal or prohibited content.
- Attempt to access systems without authorization.
- Fail to verify your identity as a seller (after notice).
We will notify you of the termination and reason via email. Termination is final. Funds owed to you will be paid within 60 days (after any pending disputes or refunds are processed).
Consequences of termination - when your account is terminated:
- You lose access to all platform features.
- Your listings are removed.
- Your messages and data are permanently deleted.
- You cannot create a new account (we may ban your email and payment method).
Changes to these terms
We may update these terms from time to time. Material changes will:
- Be announced via email to all active users.
- Include a 30-day notice period before taking effect.
- Be displayed as a banner on the platform.
Continued use of eStore after the effective date means you accept the changes. If you disagree with an update, you may delete your account within 30 days of notice.
Non-material changes (e.g., fixing typos, clarifying language) take effect immediately.
Governing law & disputes
Governing law - these terms and your use of eStore are governed by the laws of the State of California, without regard to conflict of laws principles.
Jurisdiction - you and eStore agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
Arbitration clause - except for disputes related to intellectual property or account termination, disputes between you and eStore will be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration & Mediation Services rules. Arbitration will be conducted before a single arbitrator in San Francisco, California. Each party bears its own legal fees unless the arbitrator awards them to the prevailing party.
Class action waiver - you waive the right to participate in class actions, class arbitrations, or representative actions against eStore. Disputes must be brought individually.
Small claims exception - notwithstanding the above, either party may bring a claim in small claims court if the dispute qualifies.
